Onyx Acquisition I ^{Priced, Nasdaq: ONYXU}

We are a newly organized blank check company. We intend to leverage the deep operational, investment, turn around, reorganization, and merger and acquisition expertise of our management team and JDS Development Group, a real estate development and acquisition firm affiliated with our sponsor and certain members of our management (the “Sponsor Affiliate” or “JDS” and, together with our management team, the “Onyx Team”), in our search for, evaluation and execution of an initial business combination. While we may acquire a business in any industry, we intend to focus our search for a target business in the general industrials sectors (which we define to include aerospace and defense, air freight and logistics, airlines, building products, commercial services and supplies, construction and engineering, electrical equipment, industrial conglomerates, machinery, marine, professional services, road and rail, distributors, and transportation infrastructure) and the construction technology sector. We refer to the general industrials and construction technology sectors, collectively, as our “Target Sectors”. We will use our deep experience in sourcing, due diligence and investment execution to identify and complete a combination with a business that we believe has significant growth opportunities.
